Terms of Service

1 Acceptance of Terms

By creating an account, installing the CyberLetics Device Agent, or otherwise accessing or using the CyberLetics platform (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not use the Service.

2 The Service

CyberLetics is a cybersecurity monitoring, compliance, and alert management platform designed for Indian small and medium businesses. The Service includes:

• A web-based dashboard for device inventory, security alerts, and compliance status
• The CyberLetics Device Agent — software installed on customer-managed devices
• Automated security score calculation and DPDPA 2023 compliance checks
• Report generation (PDF format)
• Team management and role-based access controls
• API access for agent communication and integrations

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with reasonable prior notice where material changes are involved.

3 Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must:

• Provide accurate and complete information when registering
• Keep your password and API keys confidential and not share them with unauthorised parties
• Notify us immediately at team@cyberletics.com if you suspect unauthorised access to your account
• Ensure all team members you invite comply with these Terms

Accounts created with false or misleading information, or used in violation of these Terms, may be suspended or terminated without notice.

4 Device Agent Usage

The CyberLetics Device Agent ("Agent") is software you install on devices within your organisation. By installing and using the Agent, you agree that:

• You have the legal right and authorisation to install software on the devices being monitored
• You will only install the Agent on devices owned by or assigned to your organisation
• You have informed your employees and device users that security monitoring software is in operation, as required by applicable Indian law
• The Agent will periodically transmit device telemetry (hardware metadata, OS status, security configuration) to the CyberLetics API — no personal employee files or communications are collected
• You are responsible for maintaining the confidentiality of the API key stored on each device

Installing the Agent on personal devices without the device owner's explicit consent is a violation of these Terms and may constitute a violation of applicable law.

5 Acceptable Use

You agree not to use the Service to:

• Monitor devices you do not own or have explicit authorisation to monitor
• Attempt to circumvent, reverse-engineer, or probe the Service's API, authentication, or security systems beyond normal use
• Submit false, malicious, or fabricated telemetry or alert data
• Use the Service to conduct or facilitate cyberattacks on any third party
• Upload, transmit, or store unlawful, harmful, or offensive content
• Resell, sublicense, or white-label the Service without prior written permission from CyberLetics
• Violate any applicable Indian or international law or regulation
• Attempt to gain unauthorised access to other customers' accounts or data

We reserve the right to investigate suspected violations and to suspend accounts engaged in prohibited activity.

6 Subscription & Billing

All paid plans are billed monthly in Indian Rupees (INR) via Razorpay. Pricing: Starter ₹2,000/mo · Shield ₹5,000/mo · Fortress ₹8,000/mo (inclusive of GST where applicable).

• Billing is monthly, charged on the subscription anniversary date
• You may cancel at any time from Settings → Billing — cancellation takes effect at the end of the current billing period
• No refunds are issued for partial months or unused features
• If payment fails, we will retry for 7 days before suspending the account
• Prices are in Indian Rupees (INR) and are inclusive of applicable GST

7 Data Ownership

You retain full ownership of all data you upload, generate, or transmit through the Service, including device telemetry, alerts, and reports. CyberLetics does not claim any intellectual property rights over your data.

By using the Service, you grant CyberLetics a limited, non-exclusive, royalty-free licence to store, process, and display your data solely for the purpose of providing the Service to you. This licence terminates when your account is deleted and all data has been purged (within 30 days of deletion).

We will never sell, rent, or share your data with third parties for advertising, marketing, or commercial purposes. See our Privacy Policy for full details.

8 API Keys & Access

API keys are used to authenticate the Device Agent with the CyberLetics API. You are responsible for:

• Keeping API keys confidential — treat them like passwords
• Rotating keys immediately if you suspect they have been compromised (Settings → API Keys)
• All actions taken using your API keys, whether authorised by you or not
• Not embedding API keys in public repositories, client-side code, or publicly accessible files

CyberLetics stores only SHA-256 hashes of API keys — the raw key is shown once at creation and cannot be retrieved. Revoked keys are invalidated immediately.

9 Intellectual Property

The CyberLetics platform, including its software, design, algorithms, documentation, and brand assets, is owned exclusively by CyberLetics and protected under applicable Indian intellectual property law. These Terms do not grant you any rights to CyberLetics's intellectual property except the limited right to use the Service as described herein.

You must not copy, modify, distribute, reverse-engineer, or create derivative works of the platform or its components without our prior written consent.

10 Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

CyberLetics does not guarantee that the Service will be uninterrupted, error-free, or completely secure. Cybersecurity monitoring is a complementary control — it does not guarantee prevention of all security incidents.

To the maximum extent permitted by applicable law, CyberLetics's total cumulative liability arising from or related to your use of the Service is limited to the total amount paid by you to CyberLetics in the three (3) months immediately preceding the event giving rise to the claim.

In no event shall CyberLetics be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business.

11 Indemnification

You agree to indemnify, defend, and hold harmless CyberLetics and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Service in violation of these Terms
• Your installation of the Device Agent on devices without proper authorisation
• Your infringement of any third-party rights
• Any data or content you submit through the Service

12 Termination

Either party may terminate this agreement at any time:

• You may delete your account at any time from Settings → Account or by contacting us
• We may suspend or terminate your account immediately if you breach these Terms, fail to pay, or if we are required to do so by law
• Upon termination, your access to the Service ends immediately; your data will be deleted within 30 days
• Termination does not affect any rights or obligations accrued prior to the effective date of termination

13 Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles.

Any dispute, claim, or controversy arising from or relating to these Terms or the Service shall first be attempted to be resolved amicably by contacting team@cyberletics.com. .

14 Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Send an email notification to all organisation owners
• Require re-acceptance on next login for significant changes

Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
